Manager, Group Secretarial Services picture
(Kuala Lumpur)

The Job:

  • Ensuring the Statutory Compliance for all companies within the Group in relation to rules and regulations of regulatory bodies i.e. Bursa Malaysia Securities Berhad, Foreign Investment Committee, Securities Commission, Companies Commission of Malaysia and Labuan Offshore authorities.
  • Responsible for Corporate Exercises (Formation of New Companies, Transfer of Shares, Acquisition, Restructuring etc.
  • Perform the duty of a Company Secretary for subsidiaries of MISC Berhad either locally or overseas i.e. (attend the Board Meetings, AGMs or EGMs), where appointed.
  • Plan and manage the Board of Directors meetings for MISC and its subsidiaries. Liaise with the relevant parties involve in preparing the board papers.
  • Ensure that MISC Group of Companies adheres to the requirements of good corporate governance.
  • Provide advice to the directors and the management on Company Law, Secretarial Practices and other applicable guidelines, practice notes and etc.
  • Prepare the Board Paper and informing the Board of Directors of MISC Berhad on MISC shares movement at Bursa Malaysia.
  • Responsible for the legalization of statutory documents in meeting the requirements of overseas counterparts in facilitating their business activities.
  • Analyse corporate secretarial issues and problem affecting the Group by taking extensive research and keeping abreast with corporate secretarial developments. Advice board members and management on the new development for compliance.

The Person:
  • Bachelor of ICSA or Bachelor of Law
  • Minimum of 10 years experience in Corporate Secretarial/legal matters
  • Familiar with Listing Requirements provisions and its practical aspects
